1. Who we are

Seed27 is a platform based in the United Kingdom that is designed to connect founders and investors and support fundraising, discovery, communication, and related opportunities.

2. Acceptance of these Terms

By accessing or using Seed27, creating an account, browsing the platform, or interacting with any part of the service, you confirm that you accept these Terms and agree to comply with them.

3. Eligibility

Seed27 is intended only for users aged 18 or over. By using the platform, you confirm that you are at least 18 years old and legally able to enter into a binding agreement.

Seed27 is currently intended for use in the United Kingdom and the United States, although we may expand to other territories over time.

4. The Seed27 service

Seed27 provides a platform through which founders, investors, and other users may create profiles, share information, discover opportunities, communicate with one another, and access tools, content, and services related to startups, fundraising, and business growth.

We may add, remove, suspend, change, or discontinue any part of the platform at any time, with or without notice.

5. No investment, legal, tax, or financial advice

Seed27 is a platform service only. Nothing on Seed27 constitutes investment advice, financial advice, legal advice, tax advice, due diligence, endorsement, recommendation, or any guarantee of funding, investment, business success, or commercial outcome.

Users are solely responsible for obtaining their own professional advice and carrying out their own checks before making any business, investment, legal, financial, or commercial decision.

6. No guarantee of outcomes

We do not guarantee that founders will raise capital, that investors will find suitable opportunities, that users will receive replies or introductions, or that any connection made through Seed27 will result in funding, partnership, traction, revenue, or any other outcome.

7. Accounts

You may be required to create an account to access some parts of the platform. You are responsible for keeping your login credentials secure and for all activity carried out through your account.

You must provide accurate, complete, and up-to-date information and must promptly update any details that change.

We may allow sign-in or account connection through third-party providers such as Google or Apple.

8. Founder and investor content

Users may upload or submit profile information, business plans, pitch decks, campaign materials, messages, images, comments, documents, and other content to Seed27.

You remain responsible for the content you submit and for ensuring that it is accurate, lawful, not misleading, and does not infringe anyone else’s rights.

9. Licence you grant to Seed27

By submitting content to Seed27, you grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, modify, format, adapt, publish, display, distribute, and otherwise use that content to operate, improve, promote, monetise, and develop the platform and our business.

This includes using submitted content for platform functionality, discovery, matching, marketing, analytics, internal review, safety, advertising, and future business features, subject to our Privacy Policy and applicable law.

10. Acceptable use

You must not use Seed27 to:

break the law; infringe intellectual property or privacy rights; upload false, misleading, defamatory, abusive, discriminatory, fraudulent, or harmful content; impersonate another person; scrape or harvest data without permission; interfere with the platform’s security or operation; upload malware or malicious code; spam users; misuse investor or founder information; or use the platform for any unlawful, deceptive, or abusive purpose.

11. Verification and moderation

We may, but are not obliged to, review, screen, moderate, verify, remove, restrict, suspend, or investigate accounts, content, messages, campaigns, and activity on the platform.

We may ask for additional information, identification, supporting documents, or verification materials at any time.

12. Communications

By using Seed27, you agree that we may send you service-related communications, including account notices, security alerts, platform updates, and administrative messages.

Where permitted by law, we may also send marketing communications. You can opt out of marketing messages where an opt-out is made available.

13. Future paid, investment, and transaction features

Seed27 may introduce paid features, subscriptions, transaction tools, fundraising tools, equity purchase functionality, or other financial or investment-related services in the future.

If we do, additional terms may apply, including terms relating to fees, payment processing, identity verification, anti-money laundering, compliance, investor eligibility, cancellation, and refunds where relevant.

14. Third-party services

Seed27 may integrate with or link to third-party websites, tools, services, payment providers, analytics providers, login providers, advertisers, or partners.

We are not responsible for third-party services, content, policies, or actions. Your use of third-party services may be governed by their own terms and privacy policies.

15. Intellectual property

Unless otherwise stated, Seed27 and its branding, software, design, text, graphics, layout, and platform materials are owned by or licensed to us and are protected by intellectual property laws.

You may not copy, reproduce, distribute, modify, reverse engineer, republish, or exploit any part of Seed27 except as allowed by law or with our written permission.

16. User disputes

Seed27 is not responsible for disputes, disagreements, negotiations, deals, failed deals, misrepresentations, losses, or claims arising between founders, investors, or other users.

Any arrangement, contact, transaction, or agreement made between users is solely between those users.

17. Suspension and termination

We may suspend, restrict, or terminate your access to Seed27, or remove content, if we reasonably believe you have breached these Terms, created risk for the platform or other users, or where we need to do so for legal, operational, or security reasons.

You may stop using the platform at any time.

18. Disclaimers

Seed27 is provided on an "as is" and "as available" basis. To the extent permitted by law, we do not guarantee that the platform will always be available, secure, error-free, accurate, or fit for any particular purpose.

We do not guarantee the accuracy, completeness, or reliability of user-submitted content, investor information, founder information, or third-party content.

19. Liability

Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.

Subject to that, to the fullest extent permitted by law, Seed27 will not be liable for any indirect, incidental, special, consequential, exemplary, or business losses, including loss of profits, revenue, opportunity, goodwill, data, funding, investment opportunity, or business interruption arising out of or in connection with your use of the platform.

To the extent permitted by law, our total liability to you for any claim arising out of or relating to Seed27 shall not exceed £100.

20. Indemnity

To the extent permitted by law, you agree to indemnify and hold harmless Seed27, its affiliates, officers, owners, staff, and service providers from claims, losses, liabilities, costs, and expenses arising from your content, your misuse of the platform, your breach of these Terms, or your infringement of any third-party rights.

21. Privacy

Your use of Seed27 is also governed by our Privacy Policy, which explains how we collect, use, share, and store personal information.

22. Changes to these Terms

We may update these Terms from time to time. If we make changes, we may post the updated version on the platform and update the "Last updated" date below.

By continuing to use Seed27 after updated Terms take effect, you agree to the revised Terms.

23. Governing law

These Terms are governed by the laws of England and Wales, unless mandatory consumer protection laws in your country of residence apply to you.
